Transactional Paralegal - LAC Group

LAC Group is recruiting a mid-level Transactional Paralegal for a direct hire position in the legal department of a prestigious corporation located in Denver, CO! The successful candidate will assist with complex, large-scale business transactions. - Provide paralegal and administrative support to in-house counsel in a busy transactional law practice
- Transaction due diligence; data room management (set up for divestitures; document and other due diligence review for acquisitions)
- Coordinate the compilation of schedules with internal subject matter experts; draft schedules for transaction documents
- Draft, proof, review and format transaction documents (preparing bid letters; asset and equity purchase and sale agreements; contribution agreements)
- Draft/review exhibits (ancillary agreements such as transition services agreements, non-competes, officers’ certificates, bills of sale, deeds and other conveyance documents)
- HSR filings: assist outside counsel with filing; document production; payment of filing fee
- Track status of closings, prepare documents for execution, coordinate deal closings, including the conduct of closing document signing and deliver
- Update Transaction Directory with deal documents
- Learn and maintain the extensive M&A transaction database and Company asset list and be capable of communicating its details when needed by lawyers and Company personnel in subsequent transactions, governmental reporting/investigation, litigation and other purposes
- Confidentiality Agreements—review of third party CAs and their edits to Company forms; maintain the CA tracking spreadsheet
- Contact for declarations/affidavits for lawsuits
Qualifications
- Bachelor’s degree plus paralegal certificate are required
- Minimum 3+ years of experience as a transactional paralegal
- Must have knowledge of and experience working with M&A
- Strong attention to detail and organizational skills
- Excellent oral and written communication skills
- Advanced MS Office Suite
